1. What RepGuard Does
RepGuard provides automated missed-call-text-back (MCTB) software for local trade businesses. When a customer calls a business phone number powered by RepGuard and the call goes unanswered, RepGuard automatically sends an SMS text message to the caller on the business's behalf. An AI-assisted text conversation then collects information about the caller's need (problem description, address, urgency, preferred callback time) and delivers a lead summary to the business owner.
RepGuard does not answer phone calls, provide voice services, or act as a receptionist. All automated communication occurs via SMS only.
2. Automated Messaging Disclosure
SMS messages sent through RepGuard are automated. They are generated and sent by software in response to a missed phone call — not by a human operator. By using a RepGuard-powered business number or by receiving a text from one, you acknowledge that communications may be automated.
3. For Business Clients
By creating a RepGuard account and using the service, you agree to the following:
- You will use RepGuard only for lawful, legitimate business communications related to your trade services.
- You are responsible for ensuring that your customers have a reasonable expectation of receiving a follow-up SMS when they call your business number and no one answers.
- You will not use RepGuard to send unsolicited marketing messages, spam, or any content unrelated to the inbound call that triggered the conversation.
- You will maintain accurate business information in your account settings (business name, owner phone number, etc.).
- You are responsible for the content accuracy of your business identity as presented to End Users through RepGuard messages.
- You will not attempt to circumvent opt-out requests. If an End User replies STOP, no further messages will be sent to that number and you will not contact them through RepGuard.
4. For End Users (SMS Recipients)
If you received an SMS from a RepGuard-powered number, it is because you placed an inbound phone call to a business that uses our service and your call was not answered.
- You are under no obligation to respond to any message.
- Reply STOP at any time to permanently opt out of further messages from that number. You will receive one final confirmation and no further texts will be sent.
- Reply HELP for assistance or contact us at support@repguard.app.
- Message and data rates may apply based on your mobile carrier plan.
- Message frequency varies; typically 1–5 messages per missed call interaction.
5. Account & Subscription
RepGuard accounts are for business use only. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Subscription pricing and terms are communicated at the time of enrollment. RepGuard reserves the right to suspend or terminate accounts that violate these terms.
6. No Warranty
The RepGuard service is provided "as is" without warranties of any kind, express or implied. RepGuard does not guarantee:
- Uninterrupted or error-free service
- Delivery of any specific SMS message
- Response rates from callers
- Lead conversion outcomes
SMS delivery is subject to carrier availability and Twilio infrastructure, which are outside RepGuard's direct control.
7. Limitation of Liability
To the maximum extent permitted by law, RepGuard is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to lost revenue, missed leads, or business interruption.
RepGuard's total maximum liability for any claim arising from use of the service is limited to the fees you paid in the 30 days preceding the claim.
8. Compliance
RepGuard operates in compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA messaging guidelines, and applicable carrier A2P 10DLC requirements. Client businesses are also responsible for their own compliance with applicable laws governing business communications in their jurisdiction.
9. Changes to These Terms
We may update these Terms of Service as the service evolves. Material changes will be reflected in the "Last updated" date above. Continued use of RepGuard after changes are posted constitutes your acceptance of the revised terms.
10. Governing Law
These terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Larimer County, Colorado.
